Innofactor publishes its prospectus

Innofactor Plc Stock Exchange Release August 2, 2013, at 11:10 Finnish time

Innofactor Plc will publish today its prospectus concerning the submitting of the new shares into public trading approved by the Financial Supervisory Authority of Finland on August 2, 2013.

Innofactor published on June 7, 2013 the acquisition, in which it purchased the entire share capital and all capital loans of atBusiness Oy. About a total of EUR 6.3 million of the purchase price was paid at the time of closing the deal. Of this, about EUR 2.9 million was paid in cash and about EUR 3.4 million in new Innofactor shares in accordance with the authorizations granted to the Board of Directors. The subscription price of the shares was the volume weighted average price of the Innofactor share on the period of January 2, 2013–June 5, 2013, which is about EUR 0.6739 per share. In order to pay the purchase price 4,978,279 new shares were issued. Innofactor Plc new 4,978,279 issued shares were registered in the Trade Register on June 18, 2013.

Admitting the new shares in public trading requires drawing up a new prospectus and also the approval of NASDAQ OMX Helsinki Oy. The new shares are estimated to be admitted to public trading on August 6, 2013.

The Innofactor prospectus to be published today describes, for example, the company's business operations, strategy and financial positions (including some Pro Forma information) and also reiterates the outlook for 2013 outlined earlier. It is recommended for the shareholders and investors to acquaint themselves with the entire prospectus.

The prospectus is available in Finnish on the Innofactor web site at www.innofactor.fi/sijoittajat. The prospectus is not published in printed format, but a printout copy may be obtained from the company's headquarters at Keilaranta 19, 02150 Espoo, Finland.
